Welcome to Path and Journey (the “Company,” “we,” “us,” or “our”). By visiting our website (https://pathandjourney.com/), purchasing our premium $1,500 “Strategic Intensive” session, utilizing our business management frameworks, or executing our operational materials, you (“Client,” Corporate Client,” “you”) agree to be legally bound by the following Terms and Conditions. Please read these terms carefully before processing a payment or completing your intake documentation.

1. The Offer and Service Scope

The “Strategic Intensive” is a premium, single-session operational audit and behavioral consulting service. The deliverable consists of a 60-minute live video consultation, a diagnostic system health check across specific business pillars, a tailored 3-part operational triad (specifically our calendar management architecture, organizational engagement protocols, and operational resource suites), and a 30-day implementation roadmap. Path and Journey provides business management and organization consultancy under International Class 035.

2. Strict No-Refund and Cancellation Policy

Due to the highly customized, labor-intensive digital asset preparation, backend playbook engineering, and calendar booking reservation involved in the Strategic Intensive, all sales are final.

  • No Refunds: No refunds, partial refunds, or credit reversals will be issued under any circumstances once the payment is processed or after the mandatory JotForm intake questionnaire has been submitted.
  • Rescheduling Policy: If you need to reschedule your live 60-minute Zoom session, you must provide a minimum of 24 hours’ written notice. Sessions canceled or rescheduled with less than 24 hours’ notice will result in the forfeiture of the full session fee.

3. Intellectual Property Rights & Chain of Title

All blueprint slides, audit checklists, and framework designs associated with our systems are the exclusive intellectual property of Grace & Reed LLC, of which Path and Journey is a DBA. The ACTIVE Blueprint™ and all related materials, “Success Cues,” and strategic roadmaps provided during coaching or consulting are the trademarked and copyrighted property of Grace & Reed LLC (USPTO International Class 035 & 041 Pending). These materials are for your internal business use only and may not be resold, repackaged, or redistributed without express written consent.

4. Limited-Use License & No Ownership Transfer

  • Single-User License: Grant of access establishes a non-exclusive, non-transferable revocable license for internal implementation within your immediate corporate tier.
  • No Ownership Interest: Client acknowledges that the purchase of any service, or access to any proprietary framework, including The ACTIVE Blueprint™, constitutes a limited-use license only. No ownership, trademark rights, or intellectual property interest is transferred to the Client.

5. Proprietary Commitment and Implementation Protocols

During the live session, Client may be prompted to read and digitally authorize our proprietary commitment protocol accompanied by our proprietary implementation momentum mechanism. These proprietary behavioral coaching frameworks are designed to combat executive drift and create momentum. While these protocols do not constitute a legally punitive fine, you acknowledge that compliance with these internal structural rules is vital to achieving the intended strategic outcome of the service.

6. Limitation of Liability

To the maximum extent permitted by law, Path and Journey, its parent entity Grace & Reed LLC, and its officers shall not be held liable for any direct, indirect, incidental, or consequential commercial damages, lost business revenues, profit margins, software implementation errors, or technological failures resulting from your execution of the strategies discussed during your consultation.

7. Professional Consulting Liability & Revenue Disclaimer

  • Business Advisory Boundaries: All content, materials, system metrics, and strategic toolkits available on this website (https://pathandjourney.com/) or delivered during a $1,500 Strategic Intensive consultation are provided strictly as an operational audit and corporate business management consultancy service under International Class 035. The Company provides administrative architecture, workflow automation auditing, and organizational diagnostics. These services do not constitute professional legal advice, licensed accounting, or formal investment counsel.
  • Absolute No Guarantee of Commercial Results: While The ACTIVE Blueprint™ is specifically designed to isolate administrative noise and point out operational friction, your individual corporate results depend entirely on your personal execution, market conditions, and unique business variables. Path and Journey and its parent entity, Grace & Reed LLC, make no express or implied promises, warranties, or guarantees regarding specific business revenue, corporate profit margins, overhead reduction, or the successful “defeat of a Goliath” or operational bottleneck. Past case studies, historical team performance metrics, or examples displayed on this site are intended for illustrative purposes only and are not predictive of your explicit commercial outcomes.

8. Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions of these Terms shall remain in full force and effect, and such invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

9. Governing Law & Jurisdictional Mandate

These Terms and Conditions shall be governed by and interpreted under the laws of the State of Texas, without regard to conflict of law principles. Any legal disputes arising directly out of these terms must be settled via binding individual arbitration prior to filing any formal civil claims.

10. Entire Agreement

These Terms constitute the entire agreement between the parties regarding the subject matter and supersede all prior or contemporaneous written or oral agreements or understandings.
